Terms of Use

Welcome to Mentr. These Terms of Use ("Terms") are a legal agreement between you and Shreyash Sakhare (operating the unregistered business "Metis Labs" - the parent - and its brand "Mentr", hereinafter "Mentr", "we", or "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About us; who you are contracting with

Mentr is a brand of Metis Labs. Metis Labs is currently an unregistered sole proprietorship operated by Shreyash Sakhare - it is not yet a registered company.

Students under 18: You may use the Service only if your parent or legal guardian has read these Terms, agrees to them, and consents on your behalf as described in the Privacy Policy §5. By allowing a child to register, the parent/guardian is bound by these Terms as if they were the user, and is responsible for the child's use of the Service.

Automatic transfer to a future entity. If Mentr/Metis Labs is in the future operated by a company or other entity (for example, Metis Labs Private Limited such as "Metis Labs Private Limited", an OPC, or an LLP) incorporated by the proprietor - that entity will automatically assume all of our rights and obligations under these Terms, and you agree to continue using the Service on the same terms with that entity, without needing to agree again. We will update this section with the entity's details when it is incorporated.

2. The Service

Mentr is an online platform that prepares students for the NDA examination (currently NDA Mathematics) by projecting likely exam scores, running an adaptive daily practice loop, generating AI-produced guidance ("coach's notes"), and providing mock tests. Mentr is also used by coaching institutes to manage their students' practice. The Service includes the website at metislabs.in and the application. We may change, add, or remove features at any time.

3. Eligibility and your account

  • You must provide accurate, complete information when registering and keep it updated.
  • You are responsible for safeguarding your password and for all activity under your account. Tell us immediately at metr@metislabs.in if you suspect unauthorised use.
  • You must be either (a) 18 or older, or (b) under 18 with a parent/guardian who has consented as above.
  • One person, one account. You may not transfer your account.

4. Students and Institutes

  • If you are a Student who registered using an Institute code, you acknowledge that the Institute that issued that code can view your name, projected marks, learning trajectory, AI coach's notes, topic heat map, and mock performance through the Service, for coaching purposes. You are responsible for deciding whether to join an Institute.
  • If you are an Institute, you represent that you are authorised to act for the coaching centre, that the Students you add are genuinely your students or have voluntarily joined using your code, and that you will use Student data seen through Mentr only for coaching those students and in compliance with the Privacy Policy and applicable law. The Institute is responsible to its Students for the lawfulness of providing their data to Mentr.

5. Acceptable use; prohibited conduct

You will not, and will not allow anyone else to:

  • Use the Service to cheat, assist others to cheat in any examination, or attempt to gain an unfair advantage;
  • Attempt to reverse-engineer, scrape, or copy the Service, its questions, solutions, or content;
  • Misuse the AI features (for example, attempting to extract, manipulate, or misuse coach's notes or projections);
  • Upload or transmit viruses, malware, or harmful code, or attempt to overload or breach the Service;
  • Impersonate another person or entity, or misrepresent your affiliation;
  • Use the Service for any unlawful, harmful, fraudulent, or infringing purpose;
  • Attempt to access data you are not authorised to access, including another user's data.

6. AI content disclaimer - important

Some content in the Service is generated by artificial intelligence, including projected marks and coach's notes.

  • A projection is a statistical estimate of likely exam performance based on your own practice. It is not a guarantee of your actual result and may be materially different.
  • Coach's notes are AI-generated guidance, not advice from a qualified human teacher, counsellor, or professional, and must not be relied upon as professional, educational, medical, or career advice.
  • You are solely responsible for your exam preparation decisions. Always exercise your own judgement and consult qualified teachers/coaches for important decisions.

7. Fees and payments

  • Some features may be paid. Where a fee applies, it will be shown before you pay.
  • Payments are processed by our payment provider (Razorpay). We do not receive or store your full card number or CVV.
  • Fees are payable in advance and are generally non-refundable except where a refund is expressly stated, required by law, or granted by us in our sole discretion. If you believe you were charged in error, contact metr@metislabs.in within 14 days.
  • We may change our fees on reasonable notice; changes take effect for future billing periods only.

8. Our content and intellectual property

The Service - including the Mentr and Metis Labs names and logos, software, questions, solutions, projections methodology, design, and text ("Mentr Content") - is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own preparation, subject to these Terms. You may not copy, redistribute, publish, sell, or create derivative works from Mentr Content without our written permission.

Your content. You retain rights to the answers and work you submit. You grant us a licence to use your submissions and activity data solely to operate, improve, and provide the Service and the AI features described in the Privacy Policy.

9. Third-party links and services

The Service may link to or integrate third-party services (including your Institute's systems and payment providers). We are not responsible for their content, availability, or practices. Razorpay, Google, and other named providers have their own terms you should read.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT PROJECTIONS OR AI OUTPUTS WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, EXAM RESULTS, ADMISSION, CAREER OPPORTUNITY, OR PROFITS, ARISING OUT OF OR RELATED TO THE SERVICE - WHETHER IN CONTRACT, TORT, OR OTHERWISE - EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because Mentr is currently operated as a sole proprietorship (not a registered company), the limitations and exclusions in this section apply to the fullest extent permitted by law, but you acknowledge that the proprietor's personal liability may not be limited in the same way as a registered company's. This is one of the reasons we strongly recommend treating all projections and AI outputs as guidance only (§6).

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (for example, liability for gross negligence or wilful misconduct causing personal injury, as the law may require).

12. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, your violation of any law or third-party right, or - if you are an Institute - your handling of Student data.

13. Suspension and termination

We may suspend or terminate your access if you breach these Terms, misuse the Service, create risk or legal exposure for us, or if required by law. You may stop using the Service and request account deletion at any time by emailing metr@metislabs.in. Sections that by their nature should survive (including intellectual property, disclaimer, limitation of liability, indemnity, and governing law) will remain in effect after termination.

14. Privacy

Our handling of your personal data is described in our Privacy Policy (link), which is incorporated into these Terms by reference.

15. Changes to these Terms

We may update these Terms. We will change the "Last updated" date and, for material changes, give you notice in the Service or by email. Continued use after a change means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of India. You and we agree that the courts at Pune, India, will have exclusive jurisdiction over any disputes arising out of or related to these Terms or the Service, subject to any mandatory consumer-protection law that gives you a right to approach your local court or a consumer forum.

Before filing a claim, you agree to first contact our Grievance Officer (Privacy Policy §13) and give us a reasonable opportunity to resolve the matter.
